17人力不可抗拒因素：
由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。
Force Majeure：
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.
18仲裁：
在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。
Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

其实还有一个小窍门哦，外贸合同不一定要中英文全都要，可以根据自己的需要就是中文或者就只有英文的。下面我再来简单说下外贸合同的签订流程及签订时的注意事项。
1) 签订合同需要着重注意以下几点：
A、最常见的贸易方式：
EXW (Ex Works)
FOB (Free on Board)
FCA (Free Carrier)
CIF (Cost Insurance and Freight)
CIP(Carriage and Insurance Paid To)
B、合同金额(单价、总价)
C、交货地是付款方式，交货方式中不可缺少的一部分，没有明确的交货地指示，可能导致额外的费用，同时增加运输风险。
D、付款方式(T/T，D/P, L/C )
E、交货期
一定要保证货物能够满足下家合同交货期， 即使生产周期确实达不到，也要做最后的努力，告诉对方所有需要交货期提前的理由，以引起对方重视，尽力满足最终的交货时间。同时也可以通过缩短运输时间， 避开双休日，及改变运输方式等方法来解决。
F、责任条款
合同执行出现问题时，责任条款则发挥其特有的威力，应该在合同签订时应当给予重视。不过工厂对于此条款都是霸王条款。

B、催促厂家的提早交货
3) 寻找货运代理公司
标准：价格优惠、通关速度快、反馈信
息及时、应变能力强
4) 付款提货并安排国际货运
A、交换提货人信息
B、对突发性事件回应(联系人不在，货物未备好，包装不符合运输要求等)
C、随时掌握货物的动向直至到达目的地
5) 货物报关
A、报关资料
报关委托书(原件)、报检委托书(原件) 合同、
商业发票、装箱单、个别产品需办理许可证(原件)
B、随时和报关代理保持联系，应对突发事件(货物包装破损、无熏蒸章、税号海关不认可等)
C、应付海关查货
提供一切可以区分箱内货物的详细清单，(发票、箱单，和对应的运输提示单据等);报关货物的工作原理，应用范围，外型图片等
6) 安排国内货物发运
随时关注货物通关情况，及时通知中铁快运提货，并督促代理安排货物发运，紧急货物提前告知，要求特殊对待。
7) 核对确认货物型号后入库
和国内合同的步骤一致，就是出现不符情况，处理更复杂更困难。
合同的事可马虎不得，就连一个小数点都要特别仔细，仔细谨慎总是没错的。
